  • COAST COAT SEWING PATTERN LICENSING AGREEMENT

    This Sewing Pattern Licensing Agreement is entered into between [Danielle LaRae/LaRae Handmade], hereinafter referred to as the "Licensor," and the individual or entity accepting this Agreement, hereinafter referred to as the "Licensee."

    1. License Grant

    Licensor grants Licensee a non-exclusive, non-transferable license to use all LaRae Handmade sewing pattern for up to 500 units provided by Licensor for the purpose of creating sewn items for personal or commercial sale, subject to the terms and conditions set forth in this Agreement.

    2. Ownership

    1. Licensor retains all rights, title, and ownership of the Pattern, including the design and any associated intellectual property rights.

    2. Licensee may not claim or imply ownership of the Pattern or design and may not create derivative works based on the Pattern.

    3. You acknowledge that the License Fee is that displayed on the Website when you enter into this agreement.

    4. You shall pay the License Fee immediately to Danielle LaRae/LaRae Handmade in accordance with the methods of payment set out on the Website and, upon authorization of such payment, the Licensed Design shall be available to you for download.

  • Licensee may use the Pattern to create Items for sale, either individually or in a commercial capacity.

    1. Licensee may not distribute, share, sell, or sublicense the digital Pattern itself, whether modified or unmodified, to any third party.

     

    4. Attribution

    Licensee agrees to provide appropriate attribution to Licensor when marketing or selling Items created using the Pattern. This attribution should include a reference to the original Pattern and the name or brand of the Licensor.es here

  • 3.1. You acknowledge that you obtain no Intellectual Property Rights whatsoever in the Licensed Design by virtue of this agreement and that all Intellectual Property Rights in the Licensed Design shall at all times be and remain the property of the Design Contributor “LaRae Handmade”, who has granted the right to sub-license the Licensed Design in accordance with the terms of the Design Contributor Agreement.

    3.2. You shall immediately notify Danielle LaRae/LaRae Handmade in writing giving full particulars if any of the following matters come to your attention:

    3.2.1. any actual, suspected or threatened infringement of the Intellectual Property Rights in the Licensed Design;

    3.2.2. any claim made or threatened that the Licensed Design infringes the rights of any third party; or

    3.2.3. any other form of attack, charge or claim to which the Intellectual Property Rights in the Licensed Design is subject.

    3.3. In respect of any of the matters listed in clause 3.2, it is acknowledged that:

    3.3.1. the Design Contributor shall, at his absolute discretion, decide what action to take, if any;

    3.3.2. the Design Contributor shall have exclusive control over, and conduct of, all claims and proceedings;

    3.3.3. you shall not make any admissions other than to Danielle LaRae/LaRae Handmade and the Design Contributor and shall provide the Design Contributor with all assistance that it may reasonably require in the conduct of any claims or proceedings; and

    3.3.4. the Design Contributor shall bear the cost of any proceedings and shall be entitled to retain all sums recovered in any action for its own account.

    6. Termination

    1. This Agreement may be terminated by either party with written notice in case of a breach of any of its terms and conditions.

    2. Upon termination, Licensee shall cease all use of the Pattern and destroy any copies or derivatives of the Pattern.

    7. Governing Law

    This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction].

    8. Entire Agreement

    This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, and discussions, whether oral or written.
